Terms of Service

1. Acceptance of Terms

1.1. Binding Agreement: By accessing, browsing, or using the website and services provided by AI9 Studio (operated by AI Hub Limited) ("we," "our," or "us"), you ("User," "Client," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

1.2. Eligibility: You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our services. By agreeing to these Terms, you represent and warrant that you have the authority to enter into this agreement personally or on behalf of the entity you represent.

2. Scope of Services and Project Agreements

2.1. Description of Service: AI9 Studio provides creative and technical services, including but not limited to AI-driven graphic design, video production, software development, and digital strategy consulting. We reserve the right to modify, suspend, or discontinue any part of the website or general services at any time without prior notice.

2.2. Project Contracts (Specific Engagements): For all dedicated project work, custom development, or retainer services, a separate Project Contract, Statement of Work (SOW), or Service Agreement will be executed between AI9 Studio and the Client.

Precedence: In the event of any conflict or inconsistency between these general Terms of Service and the specific Project Contract, the terms outlined in the Project Contract shall prevail regarding that specific engagement.
Scope: The Project Contract will define specific deliverables, timelines, payment schedules, and project-specific intellectual property clauses.

3. AI Content Generation & Disclaimers

3.1. Usage of Generative AI: You acknowledge that AI9 Studio utilizes advanced Generative AI models and machine learning tools to assist in the creation of designs, code, and video content.

3.2. Accuracy and Artifacts: While we strive for the highest standard of excellence, you acknowledge that AI-generated content may inherently contain: Factual inaccuracies or "hallucinations," visual artifacts or glitches, and similarities to pre-existing content due to the nature of algorithmic training.

3.3. Client Responsibility: You are solely responsible for the final review, verification, and validation of all deliverables before publication or implementation. AI9 Studio is not liable for errors in AI-generated output that were approved by the Client during the review process.

4. Intellectual Property Rights

4.1. General Ownership: Unless otherwise specified in a Project Contract, all source code, design files, video assets, and creative content created by AI9 Studio remain the sole property of AI9 Studio until full and final payment has been received.

4.2. Transfer of Rights: Upon receipt of full payment, ownership rights shall transfer to the Client as defined below, subject to the specific terms of the Project Contract:

Standard Transfer: AI9 Studio assigns to the Client all rights, title, and interest in the final deliverables.
AI Background IP: The Client acknowledges that raw AI-generated components may not be copyrightable under current laws. AI9 Studio grants the Client a non-exclusive, perpetual, worldwide license to use any underlying AI models or background technologies required to operate the deliverables.

4.3. Portfolio Use: Unless explicitly restricted in the Project Contract, AI9 Studio reserves the right to display the final work in our portfolio, website, and social media for promotional purposes.

5. Fees and Payment

5.1. Invoicing: Fees for services will be set forth in the relevant Project Contract. Unless otherwise agreed, invoices are due upon receipt.

5.2. Late Payment: Failure to make payments by the due date may result in the suspension of services and the withholding of Intellectual Property transfer.

6. Limitation of Liability

6.1. Indirect Damages: To the fullest extent permitted by law, AI9 Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

6.2. Liability Cap: In no event shall AI9 Studio’s aggregate liability exceed the greater of (a) one hundred Hong Kong Dollars (HKD $100) or (b) the amount paid by you for the specific service during the six (6) months prior to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless AI9 Studio from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your provision of input data that infringes upon third-party rights.

8. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes business strategies, source code, customer data, and proprietary AI workflows.

9. Governing Law and Dispute Resolution

9.1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

9.2. Dispute Resolution: Any dispute shall be referred to and finally resolved by the courts of Hong Kong.

10. Modifications to Terms

AI9 Studio reserves the right to modify these Terms at any time. Your continued use of the Service following any changes signifies your acceptance of the new Terms.
